Terms of Service
1. General
These Terms of Service ("Terms") govern the use of the Kodar mobile application and the website kodar.lt (the "Platform"). By using the Platform, you agree to these Terms. If you do not agree, you may not use the Platform.
- The Privacy Policy and the Cookie Policy form an integral part of these Terms
- These Terms are drafted in Lithuanian; the English version is provided for convenience, and in case of discrepancies the Lithuanian text prevails
- "User" means any person registered on the Platform — buyer, seller, or both

info@kodar.lt also serves as the single point of contact for users and authorities on all matters relating to the Platform.
3. Nature of the Service
Kodar is an intermediary platform that allows private individuals and businesses to buy and sell goods in Lithuania. We are neither buyer nor seller in transactions between users — we are an intermediary providing technical, buyer protection and shipping arrangement services.
- Only physical goods shipped as parcels within the territory of the Republic of Lithuania may be traded on the Platform
- The Platform does not sell digital content, services, subscriptions, gift cards or listing promotion (bump) services
- The sales contract is concluded directly between buyer and seller. The Platform is not a party to that contract and is not liable for the quality, legality or description accuracy of the item — the seller is
- Using the Platform is free of charge for users; only the fees set out in Section 10 apply
4. User Account
- Registration is open only to legally capable individuals aged 18 or over and to representatives of legal entities
- You must provide accurate and truthful information and keep it up to date
- Other users publicly see your username and profile photo; your real first and last name are not shown publicly (except for business sellers, see Section 5)
- Publishing a listing requires a phone number verified by SMS code
- You are responsible for the security of your account and for all actions taken while signed in to it
- Creating multiple accounts without legitimate reason, transferring an account to another person, or using someone else's account is prohibited
- Collecting Platform data by automated means (bots, scraping), circumventing technical protections or disrupting the Platform is prohibited
- We may restrict or terminate accounts that violate these Terms (see Section 18)
5. Private and Business Sellers
- When setting up a payout account, the seller declares their status — private individual or business (self-employed activity, business certificate, MB, UAB, etc.). The declared status must be accurate and updated when it changes
- A business seller is a person acting for purposes relating to their trade, business, craft or profession. Consumer protection requirements apply to such sellers: the 14-day right of withdrawal, the statutory 2-year liability for non-conformity, and the obligation to issue sales documents
- A business seller must provide the Platform with its identification details (name, company code, registered address, contact details, VAT number where applicable) and agrees that this information is made available to the buyer — including on the invoice issued to the buyer. This is required by the EU Digital Services Act (Regulation (EU) 2022/2065)
- If a seller declares themselves private while in fact carrying out commercial activity, we may require the status to be corrected and restrict sales until it is
- The seller's status determines whether the 14-day right of withdrawal applies to the buyer (see Section 13)
6. Listings and Goods
The seller agrees to:
- List only legally tradable goods that they actually hold and are able to ship
- Provide accurate, non-misleading photos and descriptions, and upload only images they have the right to use
- State the actual condition of the item and all known defects
- State the final price in euros, inclusive of all mandatory charges
- Comply with parcel size and weight limits
- Not list the same item in several listings or repost listings artificially to gain visibility
The following are prohibited:
- Counterfeit goods or items infringing intellectual property rights
- Digital content, services, subscriptions, gift cards, virtual currencies, gambling and lottery tickets
- Weapons, weapon parts, ammunition, pyrotechnics, explosives and their components
- Narcotic and psychotropic substances and their precursors, alcohol, tobacco products, e-cigarettes and refills
- Medicines, prescription and registrable medical devices
- Hazardous chemicals and flammable, toxic or corrosive substances
- Live animals and plants, perishable food products
- Products of protected species (ivory, furs, etc.) and cultural property without the permits required by law
- Personal data, user accounts, surveillance, fraud or protection-bypass tools
- Pornographic content, hateful or extremist paraphernalia and publications
- Items whose carriage is prohibited by the carriers' rules (see Section 11)
- Other items prohibited by law
We may remove or hide a listing that does not meet these requirements, informing the seller and stating the reason (see Section 17).
7. Product Safety and Compliance
- The seller is responsible for ensuring that the item offered is safe and complies with Lithuanian and EU product safety requirements, including Regulation (EU) 2023/988 on general product safety
- When selling new goods, the listing must state the manufacturer's name and contact details and the product identification information and, where required by law, safety warnings, instructions for use and labelling in the official language
- When selling used goods, the actual condition and known defects must be stated; items recalled from the market or failing safety requirements may not be sold
- If we learn that a dangerous or recalled product is offered on the Platform, we remove the listing, inform buyers who purchased it and, where required by law, the competent authorities
- Please report any dangerous product to info@kodar.lt
8. Communication and Negotiated Price
- In-app chats are intended solely for transaction-related communication; text and photos may be sent
- Asking for login credentials or payment card details, sending links to external payment systems, or promoting other platforms in chats is prohibited
- Negotiated price. Either the buyer or the seller may propose a different price in the chat. An order at a negotiated price is only possible where the seller either made the offer or accepted it
- An offer may only lower the price — if the proposed price exceeds the listing price, the listing price applies. The minimum negotiated price is €0.50
- An accepted offer is valid for 7 days and for one unit of the item only; after it expires a new offer is required. The buyer protection and shipping fees are calculated on the negotiated price
- Off-platform transactions are prohibited. Offering or concluding a transaction that bypasses the Platform's payment — by transfer to a personal account, in cash in person, or via other services — and moving the conversation to other channels for that purpose, is prohibited. Buyer protection, dispute resolution and delivery guarantees do not apply to such transactions, and the account will be restricted for the violation
9. Payments and Buyer Protection
- The buyer pays through the Platform using the Stripe payment service (Stripe Payments Europe, Ltd.) — by card, Apple Pay or Google Pay
- Placing an order reserves the item for the buyer. Orders must be paid within 30 minutes of placement — unpaid orders are cancelled automatically and the item is returned to sale
- If payment is made after the 30-minute window has expired, it is refunded automatically — no transaction is concluded
- Funds are held on the Platform's account (buyer protection principle) until the buyer confirms receipt of the item
- The buyer must confirm receipt or open a dispute within 48 hours of delivery; otherwise the funds are released to the seller automatically
- Released funds appear in the seller's Kodar wallet, from which they can be withdrawn to the seller's own bank account at any time
- If a dispute is opened, payouts are suspended until it is resolved
10. Fees
- Buyer protection fee — 5% of the item price + €0.70 fixed fee, paid by the buyer
- Shipping fee — per the tariff of the chosen delivery method, paid by the buyer
- The seller receives 100% of the item price — no sales commission is charged
- Wallet withdrawals: free for amounts of €15 or more; a €1 fee applies to smaller amounts; the minimum withdrawal is €2. Funds reach the bank account within 1–3 business days
- All fees are shown before an order or a withdrawal is confirmed
- We may change the fees. We will announce changes in the app or by email at least 30 days before they take effect; orders already placed remain subject to the fees in force when the order was placed
11. Shipping and Delivery
- Parcels are delivered via parcel lockers and courier services through the Omniva, LP Express, Venipak and SmartPost networks across Lithuania
- The buyer chooses the delivery method (parcel locker or courier delivery to an address) and the network at checkout; the shipping price is shown before payment
- The shipping label is generated by the Platform — the seller does not need to buy one separately. The seller drops the parcel off at any locker of the chosen network; for large (XL) parcels with courier delivery, a courier collects the parcel from the seller
- The seller must ship the item within 5 calendar days of payment; otherwise the order is cancelled automatically and the buyer receives a full refund
- The seller is responsible for packaging the item properly and is liable for damage caused by inadequate packaging
- Items that carriers do not accept may not be shipped — liquids, lithium-ion batteries in unsuitable packaging, flammable goods or anything else prohibited from carriage. Meeting the carriers' requirements is the seller's responsibility
- The parcel size (S–XL) is determined by the item's dimensions and weight; heavier orders are split into several parcels
- Both parties can track the parcel in the app; the buyer is notified when it is delivered
- The buyer must collect the item within the locker time window (typically 7 days); uncollected items are returned to the seller and the order is cancelled automatically (see Section 12)
- The buyer is responsible for providing a correct delivery address or locker
12. Order Cancellation and Refunds
- The buyer may cancel an order until the seller has prepared it for shipment
- The seller may cancel an order until the item has been shipped
- Once the item is prepared for shipment or shipped, cancellation requires mutual consent (one party requests, the other confirms)
- When a paid order is cancelled, the full amount is refunded to the buyer's original payment method (except for uncollected parcels, see below); banks typically credit the funds within 3–5 business days
- Uncollected parcels: if the buyer does not collect the parcel within the locker time window and the carrier registers its return to the seller, the order is cancelled automatically. The buyer is refunded the item price and the buyer protection fee; the shipping fee is not refunded. The refund is initiated when the carrier registers the return and does not depend on when the seller collects the returned parcel
13. Returns
- Returns are initiated in the app: by opening a dispute (see Section 14) or, when buying from a business seller, by exercising the 14-day right of withdrawal
- If a dispute is resolved in the buyer's favour due to the seller's fault (item not as described, damaged, counterfeit or wrong item), the item is returned to the seller, who pays the return shipping
- When buying from a business seller (B2C), the buyer additionally has the statutory 14-day right of withdrawal without giving a reason, counted from the day of delivery; in that case the item price is refunded (the buyer protection and shipping fees are not), and the Platform provides the return shipping label
- The 14-day right of withdrawal does not apply to the exceptions provided by law — for example, items made to the buyer's individual specifications, perishable goods, and unsealed items unsuitable for return for hygiene reasons
- When buying from a private seller (C2C), the 14-day right of withdrawal does not apply — change-of-mind returns are possible only with the seller's consent
- Returned items must be in the same condition as received and, where possible, in the original packaging
- The refund is issued to the buyer's original payment method once the return is confirmed; banks typically credit the funds within 3–5 business days
14. Disputes Between Buyer and Seller
- The buyer has 48 hours from receipt to open a dispute if the item does not match the description, is damaged, counterfeit, or the wrong item was received; a dispute about a missing parcel can be opened before the item arrives
- Once a dispute is opened, payouts to the seller are suspended until resolution
- The seller must respond to a dispute within 3 business days
- If the parties cannot agree, the dispute is reviewed by the Kodar team based on evidence from both parties
- The decision may be: full refund, partial refund, return of the item to the seller together with a refund, or dispute denied
- The buyer may withdraw a dispute; withdrawal is final — no new dispute can be opened for the same order. This does not affect a consumer's right to turn to the authorities or the courts (see Section 23)
- Submitting false evidence or abusing the dispute system is a violation of these Terms
15. Invoices, Identity Verification and Tax Obligations
- For business sellers (B2C), the Platform automatically issues sales invoices to buyers on the seller's behalf; a credit note is issued when a paid order is cancelled. Invoices are available in the app
- Under the EU DAC7 directive, the Platform reports seller income data to the tax authority once a seller exceeds 30 transactions or €2,000 in a calendar year
- Upon reaching these thresholds, the seller may be required to verify their identity with an identity document before further payouts; payouts are temporarily held until verification is completed
- To protect funds, we may require an additional one-time SMS code for sensitive actions — changing the payout bank account, withdrawing funds, or deleting the account. After a payout bank account change, payouts may be held for up to 48 hours
- Sellers are responsible for fulfilling their own tax obligations (income tax, VAT, etc.)
16. Ratings
After a transaction, both parties may leave a rating. Ratings must be truthful and lawful. A rating may only be left for a transaction that took place on the Platform — paid, self-authored or competitor-targeted ratings are prohibited. We reserve the right to remove ratings containing insults, false information or personal data. Ratings that breach these Terms can be reported in the app with supporting evidence.
17. Content Moderation and Reporting
There is no tolerance on the platform for objectionable content — abusive, hateful, threatening, sexual, violent, misleading or otherwise unlawful content in listings, photos, messages, ratings or profiles — nor for abusive behaviour towards other users.
- Every user can report a listing, seller, rating or message directly in the app and block another user — a blocked user can no longer contact you. Illegal content can also be reported by email to info@kodar.lt.
- We review reports within 24 hours. Content that violates these Terms is removed and the offending account is restricted or terminated (see Section 18).
- We notify the user of removed content or applied restrictions, stating the reason and the grounds for the decision.
- Decisions can be appealed within 6 months of being notified — by submitting an appeal with evidence in the app or by writing to info@kodar.lt. Appeals are reviewed by a human, not by an automated system. If you disagree with the outcome, you may turn to the authorities or the courts (see Section 23).
- We may temporarily suspend the handling of reports and appeals from users who systematically submit manifestly unfounded or abusive submissions.
- By posting content, the user confirms they have the right to use it and that it does not infringe third-party rights or these Terms.
18. Account Restrictions and Termination
Where these Terms are violated, we apply a proportionate measure, taking into account the nature, severity and repetition of the violation:
- Warning — no technical restrictions; the user is informed of the violation.
- Account restriction — the user cannot publish new or edit existing listings, buy items, start new conversations, write ratings or change their username; listings are temporarily hidden. The user can still complete ongoing orders, take part in disputes, continue existing conversations, withdraw accrued funds, and download their invoices and data. A restriction may be for a fixed term or last until the decision is reviewed.
- Account ban — access to the account is removed. Applied to serious violations: fraud, trading in illegal goods, threats, or repeat violations after a restriction.
- We inform the user in the app of the measure applied, its reason and its duration. An appeal with evidence can be submitted in the app (see Section 17).
- Users may delete their account at any time via profile settings. An account cannot be deleted while there are unfinished purchases or sales, unresolved disputes, unwithdrawn wallet funds, or withdrawals still being processed.
- We may terminate accounts that violate the Terms with 7 days' notice (or immediately for serious violations).
- After an account is deleted, data is processed and retained as described in the Privacy Policy.
19. Liability Limitation
The Platform is provided "as is". We are not liable for:
- The outcome of user-to-user transactions outside of buyer protection
- The quality, safety, legality and description accuracy of items — the seller is
- Transactions concluded by bypassing the Platform's payment (see Section 8)
- Service disruptions caused by third parties (Firebase, Stripe, shipping carriers, parcel lockers)
- Indirect damages or lost profits
Nothing in these Terms limits consumer rights that cannot be limited under mandatory provisions of Lithuanian law.
20. Intellectual Property
All Kodar app and website rights belong to the service provider. User-uploaded content remains owned by the user, who grants us a non-exclusive, royalty-free licence to display it on the Platform and to use it for the operation and search functionality of the Platform. The licence lasts for as long as the content remains on the Platform.
21. Service Changes and Availability
We may change, extend or discontinue individual Platform features. We give at least 7 days' notice of material changes that put users in a worse position.
We are not liable for temporary disruptions caused by maintenance or force majeure — fire, natural disaster, war, power or internet outages, third-party service failures, or decisions of public authorities. In such cases, deadlines for performance are extended for the duration of those circumstances.
22. Changes to the Terms
We may update these Terms. We will announce material changes in the app or by email at least 7 days before they take effect (fee changes — 30 days, see Section 10). By continuing to use the Platform after the changes take effect, you agree to the updated Terms; if you disagree, you may delete your account at any time.
23. Governing Law and Out-of-Court Dispute Resolution
These Terms are governed by the law of the Republic of Lithuania. Disputes shall be resolved in the courts of Lithuania at the place of the service provider, unless consumer protection laws provide otherwise.

A consumer who disagrees with a decision of the platform or a business seller may contact the State Consumer Rights Protection Authority (VVTAT, www.vvtat.lt, Vilniaus g. 25, LT-01402 Vilnius). For cross-border disputes, the European Consumer Centre Lithuania (www.ecc.lt) can assist.
